BACKGROUND:
These Terms and Conditions, together with any other documents referred to herein, set out the terms under which Zofia Allen Consultancy Ltd (“We/Us/Our”) provides services to clients. Please read these Terms and Conditions carefully before engaging our services. You agree to comply with and be bound by these Terms and Conditions by engaging our services. If you do not agree to these Terms and Conditions, please refrain from engaging our services.
1. Definitions and Interpretation
1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
"Client" refers to any individual, business, or organisation that engages Our services.
"Services" refers to the HR, operational, business support, and consultancy services provided by Us.
"Agreement" refers to the contract between Us and the Client based on these Terms and Conditions.
"Confidential Information" refers to all non-public information disclosed between the parties.
2. Information About Us
2.1 Zofia Allen Consultancy Ltd is a professional business consultancy specialising in HR, operations, business support, and workplace transformation. Our services include, but are not limited to:
HR and People Operations Support
Business Process Improvement
Psychometric Testing and Employee Assessments
Office Refurbishment and Relocation Management
Financial and Compliance Support
Remote and Hybrid Workforce Management
3. Engagement and Scope of Services
3.1 Our engagement begins when the Client accepts Our proposal or agrees to Our services. A formal contract may be issued outlining specific deliverables, timelines, and pricing.
3.2 We will use reasonable skill and care in delivering the Services, ensuring compliance with relevant employment and operational regulations.
3.3 The Client shall provide necessary information and cooperation to enable Us to perform the Services effectively. Delays caused by the Client may impact timelines and costs.
4. Confidentiality and Data Protection
4.1 Both parties shall maintain confidentiality regarding all non-public information shared during the provision of Services.
4.2 We comply with UK Data Protection laws, including GDPR. Any personal data collected shall be processed lawfully and securely.
4.3 The Client agrees not to disclose Our proprietary methodologies, reports, or materials without written permission.
5. Limitation of Liability
5.1 We shall not be liable for indirect, incidental, or consequential losses resulting from the use of Our Services.
5.2 Our liability for direct loss or damage shall not exceed the total fees paid by the Client in the three months preceding the claim.
5.3 We do not accept liability for any compliance failures, fines, or penalties arising from incorrect or incomplete information provided by the Client.
6. Payment Terms
6.1 Payment for Our Services shall be made within 14 days of receipt of the invoice.
6.2 We reserve the right to charge interest on overdue payments at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6.3 If payment is not received within the agreed time frame, We may suspend or terminate Our Services until payment is received.
7. Termination
7.1 Either party may terminate the Agreement with 30 days' written notice. Any fees for work completed up to the termination date shall remain payable.
7.2 We reserve the right to terminate services immediately if the Client breaches these Terms and Conditions, including non-payment of fees.
8. Intellectual Property
8.1 Any reports, materials, or documents created as part of Our Services shall remain Our intellectual property, unless agreed otherwise in writing.
8.2 The Client is granted a non-exclusive, non-transferable licence to use the materials for internal business purposes only.
9. Governing Law and Jurisdiction
9.1 These Terms and Conditions are governed by English law. Any disputes arising under or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Amendments and Updates
10.1 We reserve the right to amend these Terms and Conditions as necessary. The latest version shall be made available to Clients upon request.
